Pretty much, yes.  You can *try* to undo it wiht a wrench before
dropping the cat, but the OXS tends to be tough to break loose, kinda
welded in with age usually, so it's much easier to remove on the
bench/in a vise than upside upside down and sideways under the car.
Plan on using new hardware to reinstall the cat (S/S is nice...), and
maybe new gaskets, too.
