Walter,
Sounds like two seperate problems. On the odo, it's more than likley a broken odo gear on the end of the odo. Usually goes when the odo is hard to turn, ie 99 or 999 on the end, It's trying to turn three of four numbers at once, and when it gets brittle this is when it goes. You will have to replace it, have the speedo rebuilt, or live with it.
 
As a side note, if you want to know if an odo works on a car you can't drive before buying, look for 99 or 999 at the end. Usually means a broken odo, and inaccurate milage.
 
The overheating light could very well be as simple as your coolant level being low. That's the first thing I'd check. There is a sensor in the expansion tank that will trigger the light.
