Grinding going into 2nd Gear.... Please Help Diagnose...

Hello  Again,

	Just recently my 1993 100CSQ with a 5 speed tranny started to grind as i
was shifting it into 2nd gear.  It only does it sometimes...  But what is
wrong?  Is the clutch dying or what???   I need to repair this
immediately...  Help is needed if you could lend it...  Email-Wise that is.
